1. Agreement to Terms
By accessing or using Shoutjar (shoutjar.com and app.shoutjar.com), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our service.
2. Description of Service
Shoutjar is a SaaS platform that helps you:
- Import and manage customer testimonials from multiple platforms
- Auto-discover social mentions across various social media platforms
- Generate social media content and quote images from reviews
- Embed testimonial widgets on your website
- Create and share public testimonial pages (Wall of Love)
3. Account Registration
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the security of your account and password
- You must be at least 16 years old to use Shoutjar
- One account per person or entity
- You are responsible for all activities that occur under your account
4. Subscription and Payments
Plans
- Trial: Free 7-day trial, no credit card required
- Launch: €15/month
- Scale: €49/month
Billing
- Subscriptions are billed monthly in advance
- All payments are processed securely by Stripe
- Prices are subject to change with 30 days' notice
- You authorize us to charge your payment method for all subscription fees
Refunds
- No refunds are provided for partial billing periods
- You may cancel your subscription at any time
- Access continues until the end of your current billing period after cancellation
5. Acceptable Use
You agree NOT to:
- Import testimonials you don't have legal rights to use
- Create, upload, or share fake or misleading testimonials
- Use the service for any illegal or unauthorized purpose
- Attempt to hack, disrupt, or reverse-engineer the service
- Resell or redistribute access to Shoutjar without permission
- Violate any third-party intellectual property rights
- Transmit viruses, malware, or other malicious code
- Harass, abuse, or harm other users
- Scrape or extract data from the service without permission
6. Content and Intellectual Property
Your Content
- You retain all ownership rights to content you upload to Shoutjar
- You grant Shoutjar a license to host, display, process, and distribute your content as necessary to provide the service
- You are solely responsible for ensuring you have the rights to use any testimonials you import
- You represent that your content does not violate any laws or third-party rights
Our Content
- Shoutjar and its original content, features, and functionality are owned by Shoutjar
- Our service is protected by copyright, trademark, and other intellectual property laws
- You may not copy, modify, distribute, or reverse-engineer our code or design
Third-Party Content
- Testimonials imported from third-party platforms are subject to those platforms' terms of service
- You are responsible for compliance with all applicable third-party platform terms
7. AI-Generated Content
- Shoutjar uses AI to generate social media posts and analyze sentiment
- AI-generated content is provided "as is" without warranties
- You are solely responsible for reviewing and editing AI-generated content before publishing
- We do not guarantee the accuracy, appropriateness, or quality of AI-generated outputs
- You should verify all AI-generated content before using it publicly
8. Widgets and Embeds
- You may embed Shoutjar widgets on websites you own or control
- Widgets must not be modified to remove Shoutjar attribution (on Launch plan)
- We reserve the right to disable widgets that violate these terms
- You are responsible for ensuring widget content complies with applicable laws
9. Wall of Love Pages
- Public Wall of Love pages are accessible to anyone with the link
- You are responsible for all content displayed on your public pages
- We may remove pages that violate these terms or applicable laws
- Pages may be indexed by search engines
10. Privacy
Your use of Shoutjar is also governed by our Privacy Policy, available at shoutjar.com/privacy. By using the service, you consent to the data practices described in our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not guarantee:
- Uninterrupted, secure, or error-free operation of the service
- That the service will meet your specific requirements or expectations
- Accuracy, reliability, or quality of AI-generated content
- Continued availability of third-party platform integrations
- That defects will be corrected
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Shoutjar's total liability is limited to the amount you paid us in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not liable for loss of data, profits, revenue, or business opportunities
- We are not liable for any damages arising from third-party services or content
Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Shoutjar and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the service
- Your content and materials
- Your violation of these terms
- Your violation of any third-party rights, including intellectual property rights
14. Termination
By You
- You may cancel your subscription at any time through your account settings
- You may request account deletion by contacting support
By Us
- We may suspend or terminate accounts that violate these terms
- We may discontinue the service with 30 days' notice
- We may refuse service to anyone for any reason
Effect of Termination
- Your right to use the service ends immediately
- We may delete your data after 30 days
- Provisions that should survive termination will survive (liability, indemnification, dispute resolution)
15. Changes to Terms
- We reserve the right to modify these terms at any time
- Continued use of the service after changes constitutes acceptance
- Material changes will be communicated via email or in-app notice
- We will update the "Last updated" date at the top of this page
16. General
Governing Law
These terms are governed by the laws of Italy. For EU consumers, mandatory consumer protection laws of your country of residence may also apply.
Dispute Resolution
Any disputes arising from these terms or your use of Shoutjar will be resolved through the courts of Italy. EU consumers may also use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Entire Agreement
These terms, together with our Privacy Policy, constitute the entire agreement between you and Shoutjar regarding the service.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.
